Acceptance of terms
By accessing the QUBYX website, purchasing or using QUBYX products, or engaging our support, you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you have authority to do so.
"QUBYX" refers to QUBYX Software Technologies LLC, a Delaware limited liability company.
Software license
QUBYX grants you a non-exclusive, non-transferable license to use the software you have purchased, subject to the plan you selected and the terms below.
Single license
Use the software on one workstation per license. Reasonable activation transfers are permitted (e.g. when replacing the workstation).
Multi-seat / Studio license
Use the software on up to the number of workstations included in your plan, by named individuals or shared seats per plan terms.
Enterprise license
As described in your written agreement with QUBYX. Enterprise terms supersede these terms where they conflict.
Education license
For verified students, educators, and academic teams. Annual re-verification required. Commercial use not permitted.
Restrictions
- No redistribution, sublicensing, or sale
- No reverse engineering except as allowed by applicable law
- No use to develop a competing product
- No circumvention of license validation
Store purchases
All purchases through the QUBYX Store are governed by these Terms plus any plan-specific terms presented at checkout.
Payment
Payment is due at order. Prices are in USD unless otherwise stated. Taxes apply per your jurisdiction.
Refunds
- Software: 14-day refund window from purchase, provided the license has not been heavily used.
- SmartSensor hardware: 30-day return policy from delivery. Item must be in original condition with all included accessories.
- Education and bundle: Refunds prorated by activated component.
- Enterprise: As negotiated in the master agreement.
Shipping
Free worldwide standard shipping on SmartSensor S2 retail orders. Express options available at checkout. International duties and taxes are the buyer’s responsibility unless DDP is selected.
Support
Support tiers are described at /support/. Standard support covers product functionality questions and bug reports. It does not include custom development, on-site visits, or workflow consulting unless purchased separately.
Response targets are commercially reasonable, not contractually guaranteed unless covered by an Enterprise SLA.
Hardware warranty
SmartSensor S2 ships with a 2-year manufacturer warranty against defects in materials and workmanship under normal use. SmartSensor S1 OEM modules carry a 5-year warranty per OEM contract terms.
Warranty does not cover damage from drops, liquids, modifications, or use outside specification. See /support/warranty-rma/ for the full warranty terms and RMA process.
Intellectual property
QUBYX, the QUBYX logo, PerfectLum, PerfectChroma, PerfectEPD, RemoteQA, SmartSensor, and related marks are trademarks of QUBYX Software Technologies LLC. All software is owned by QUBYX and licensed, not sold.
You retain all rights to data you generate using QUBYX software, including measurement results, calibration profiles, and reports.
Disclaimers
QUBYX software is intended as a measurement, calibration, and quality assurance tool. It is not a substitute for qualified clinical, mission, or compliance judgment. You are responsible for defining and applying the policies appropriate to your environment.
The software is provided "as is" except for express warranties stated in your purchase or written agreement.
Limitation of liability
To the maximum extent permitted by law, QUBYX’s aggregate liability arising out of or related to these Terms is limited to the amount you paid QUBYX in the 12 months preceding the claim.
QUBYX is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data — even if advised of the possibility.
Some jurisdictions do not allow these limitations. Where they do not apply, our liability is limited to the smallest extent permitted by law.
Changes
We may update these Terms. Material changes are notified through the website and to active customers via email. Continued use after the effective date constitutes acceptance.
Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any dispute is subject to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware, except where applicable law gives you the right to pursue claims in your local jurisdiction.
